Common use of Certificates of Foreign Qualification Clause in Contracts

Certificates of Foreign Qualification. Copies of certificates of foreign qualification, good standing and payment of all state Taxes that are due (if such certificates are available in each applicable jurisdiction) for each Acquired Entity from the appropriate public officials of each of the jurisdictions listed on Schedule 6.01, each dated as of a date not more than ten Business Days prior to the Closing Date.
