Common use of Certificates of Good Standing Clause in Contracts

Certificates of Good Standing. The Administrative Agent shall have received long-form certificates as of a recent date of the good standing of the Borrower and IPT under the laws of its jurisdiction of formation and, where available, a certificate of the relevant taxing authorities of such jurisdictions certifying that such Person has filed required tax returns and owes no delinquent taxes.

Certificates of Good Standing. The Administrative Agent shall have received long-form certificates as of a recent date of the good standing or active status, as applicable, of the Borrower and IPT Credit Parties (other than the Foreign Subsidiary Borrowers) under the laws of its jurisdiction their respective jurisdictions of formation and, where available, organization and short-form certificates as of a certificate recent date of the relevant taxing authorities good standing of such jurisdictions certifying that such Person has filed required tax returns the Parent Borrower under the laws of each other jurisdiction where the Parent Borrower is qualified to do business and owes no delinquent taxeswhere a failure to be so qualified would have a Material Adverse Effect.

The Administrative Agent shall have received long-form certificates as of a recent date of the good standing of the Borrower and IPT each Subsidiary Guarantor under the laws of its respective jurisdiction of formation organization and, to the extent requested by the Administrative Agent, each other jurisdiction where available, the Borrower and each of the Subsidiary Guarantors is qualified to do business and a certificate of the relevant taxing authorities of such jurisdictions certifying that such Person has filed required tax returns and owes no delinquent taxes.

The Administrative Agent shall have received long-form certificates as of a recent date of the good standing of the Borrower and IPT each Subsidiary under the laws of its jurisdiction their respective jurisdictions of formation and, where available, organization and a certificate of the relevant taxing authorities of such jurisdictions certifying that such Person has filed required tax returns and owes no delinquent taxes.

The Administrative Agent shall have received long-form certificates as of a recent date of the good standing of the Borrower and IPT under the laws of its jurisdiction of formation and, where available, organization and short-form certificates as of a certificate recent date of the relevant taxing authorities good standing of such jurisdictions certifying that such Person has filed required tax returns the Borrower under the laws of each of California, Georgia, New York, North Carolina, Texas, Tennessee and owes no delinquent taxesVirginia.

Certificates of Good Standing. The To the extent requested by the Administrative Agent, the Administrative Agent shall have received long-form certificates (or equivalent thereof) as of a recent date of the good standing of the Borrower and IPT under the laws of its jurisdiction of formation andorganization and each other jurisdiction where the Borrower is qualified to do business, where available, and the Borrower shall use its reasonable efforts to obtain a certificate of the relevant taxing authorities of such jurisdictions certifying that such Person the Borrower has filed required tax returns and owes no delinquent taxes.

The To the extent requested by the Administrative Agent, the Administrative Agent shall have received long-form certificates as of a recent date of the good standing of the Borrower and IPT under the laws of its jurisdiction of formation and, organization and each other jurisdiction where available, the Borrower is qualified to do business and a certificate of the relevant taxing authorities of such jurisdictions certifying that such Person the Borrower has filed required tax returns and owes no delinquent taxes.

The Administrative Agent shall have received long-form certificates as of a recent date of the good standing of the Borrower Borrower, and IPT each Subsidiary, in each case, under the laws of its respective jurisdiction of formation organization and, to the extent requested by the Administrative Agent, each other jurisdiction where available, the Borrower or such Subsidiary is qualified to do business and a certificate of the relevant taxing authorities of such jurisdictions certifying that such Person has filed required tax returns and owes no delinquent taxes.

The To the extent requested by the Administrative Agent, the Administrative Agent shall have received long-long form certificates as of a recent date of the good standing of the Borrower Borrowers and IPT the Sureties under the laws of its Borrowers' and the Sureties' jurisdiction of formation and, organization and each other jurisdiction where available, the Borrowers and the Sureties are qualified to do business and a certificate of the relevant taxing authorities of such jurisdictions certifying that such Person has filed required tax returns and owes no delinquent taxes.

Certificates of Good Standing. The Administrative Agent shall have received long-form certificates as of a recent date of the good standing of ShoLodge and each of the Borrower and IPT corporate Borrowers (or with respect to partnership Borrowers, the authorized general partner) under the laws of its jurisdiction of formation organization and each other jurisdiction where such Borrower is qualified to do business, and, where availableto the extent available in the normal course in the applicable jurisdictions, a certificate of the relevant taxing authorities of such jurisdictions certifying that such Person has filed required tax returns and owes no material amount of delinquent taxes.

Certificates of Good Standing. The Administrative Agent shall have received long-form certificates as of a recent date of the good standing of the Borrower and IPT under the laws of its jurisdiction of formation organization and each other jurisdiction where the Borrower is qualified to do business and, where if separately available, a certificate of the relevant taxing authorities of such jurisdictions certifying that such Person has filed required tax returns and owes no delinquent taxes.

The Administrative Agent shall have received long-form certificates as of a recent date of the good standing of the each Borrower and IPT under the laws of its jurisdiction of formation and, organization and each other jurisdiction where available, such Borrower is qualified to do business and a certificate of the relevant taxing authorities of such jurisdictions certifying that such Person has filed required tax returns and owes no delinquent taxes.

The Administrative Agent shall have received long-form certificates as of a recent date of the good standing of the Borrower Borrower, each Restricted Subsidiary and IPT the Unrestricted Subsidiary, in each case, under the laws of its respective jurisdiction of formation organization and, to the extent requested by the Administrative Agent, each other jurisdiction where available, the Borrower or such Restricted Subsidiary is qualified to do business and a certificate of the relevant taxing authorities of such jurisdictions certifying that such Person has filed required tax returns and owes no delinquent taxes.

The Administrative Agent shall have received long-form certificates as of a recent date (as of the Original Closing Date) of the good standing of the Borrower Borrower, and IPT each Subsidiary, in each case, under the laws of its respective jurisdiction of formation organization and, to the extent requested by the Administrative Agent, each other jurisdiction where available, the Borrower or such Subsidiary is qualified to do business and a certificate of the relevant taxing authorities of such jurisdictions certifying that such Person has filed required tax returns and owes no delinquent taxes.
