The Borrower shall have delivered to the Lender certificates as to its legal existence and good standing under the laws of The Commonwealth of Massachusetts, and the Borrower shall have delivered to the Lender certificates as to its authority to do business as a foreign corporation in the States of California, Colorado, Connecticut, Florida, Illinois, Maryland, Michigan, New Jersey, New Mexico, New York, Oregon, Pennsylvania, Texas, and Arizona, each dated as of a recent date.
