Common use of Certificates of Merger Clause in Contracts

Certificates of Merger. The Parent and Acquisition Corp. shall have executed and delivered to the Company, the Company’s Subsidiary and the Principal Stockholders counterparts of the Certificates of Merger to be filed with the Secretary of the State of the State of Delaware and the Division in connection with the Merger.

The Parent and Acquisition Corp. shall have executed and delivered to the Company, the Company’s Subsidiary and the Principal Stockholders Company counterparts of the Certificates of Merger to be filed with the Secretary of the State of the State of Delaware California and the Division Secretary of State of the State of Delaware in connection with the Merger.
