CERTIFICATES OF OFFICERS AND DIRECTORS. DRI shall provide to the Buyer a certificate at the Closing verifying the representations and warranties made by DRI. Any certificate or other document executed by any officer of DRI and delivered to the Buyer or its counsel shall be deemed a representation and warranty by such officer on behalf of DRI as to the statements made therein.
