Common use of Certificates, Statements and Reports Clause in Contracts

Certificates, Statements and Reports. The officers' certificates, statements, reports and other documents prepared by the Depositor and furnished by the Depositor to the Issuer, the Indenture Trustee or the Agent pursuant to this Agreement or any other Transaction Document to which the Depositor is a party, and in connection with the transactions contemplated hereby or thereby, when taken as a whole, do not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements contained herein or therein not misleading.
