Common use of Certification as to Compliance Clause in Contracts

Certification as to Compliance. The Servicer shall deliver to the Issuer, the Indenture Trustee and the Funding Agents, an Officer’s Certificate on or before June 30 of each year commencing in 2018: (x) to the effect that a review of the activities of the Servicer during the preceding calendar year, and of its performance under this Indenture during such period has been made under the supervision of the officers executing such Officer’s Certificate with a view to determining whether during such period, to the best of such officer’s knowledge, the Servicer had performed and observed all of its obligations under this Indenture, and (y) either (A) stating that based on such review, no Servicer Event of Default is known to have occurred and is continuing, or (B) if such a Servicer Event of Default is known to have occurred and is continuing, specifying such Servicer Event of Default and the nature and status thereof.

Certification as to Compliance. The Servicer shall deliver to the Issuer, the Indenture Trustee Trustee, each Rating Agency and the Funding AgentsInitial Purchasers, an Officer’s Certificate on or before June 30 of each year commencing in 20182022: (x) to the effect that a review of the activities 42 of the Servicer during the preceding calendar year, and of its performance under this Indenture during such period has been made under the supervision of the officers officer executing such Officer’s Certificate with a view to determining whether during such period, to the best of such officer’s knowledge, the Servicer had performed and observed all of its obligations under this Indenture, and (y) either (A) stating that based on such review, no Servicer Event of Default is known to have occurred and is continuing, or (B) if such a Servicer Event of Default is known to have occurred and is continuing, specifying such Servicer Event of Default and the nature and status thereof.

The Servicer shall deliver to the Note Issuer, the Indenture Trustee Collateral Agent and the Funding AgentsNoteholder, an Officer’s Certificate on or before June 30 of each year commencing in 20182011: (x) to the effect that a review of the activities of the Servicer during the preceding calendar year, and of its performance under this Indenture Note Purchase Agreement during such period has been made under the supervision of the officers officer executing such Officer’s Certificate with a view to determining whether during such period, to the best of such officer’s knowledge, the Servicer had performed and observed all of its obligations under this IndentureNote Purchase Agreement, and (y) either (A) stating that based on such review, no Servicer Event of Default is known to have occurred and is continuing, or (B) if such a Servicer Event of Default is known to have occurred and is continuing, specifying such Servicer Event of Default and the nature and status thereof.

Certification as to Compliance.
