Common use of CERTIFICATION BY SELLER Clause in Contracts

CERTIFICATION BY SELLER. Buyer shall have received a certificate, dated as of the Closing Date, signed by the Managers of Seller, certifying that (I) all representations and warranties made by Seller in this Agreement and in any other agreements, exhibits, schedules or other written statements delivered by Seller in connection with this Agreement are true and correct as of the Closing Date; AND

CERTIFICATION BY SELLER. Buyer Buyers shall have received a certificate, dated as of the Closing Date, signed by Seller' Presidents certifying, in such detail as Buyer and its counsel may reasonably request, that the Managers of Seller, certifying that (I) all representations and warranties made by Seller in this Agreement and in any other agreements, exhibits, schedules or other written statements delivered by Seller in connection with this Agreement set out herein are true and correct as of the Closing Date; AND.

CERTIFICATION BY SELLER. Buyer shall have received a certificate, dated as of the Closing Date, signed by Seller's president certifying, in such detail as Buyer and its counsel may reasonably request, that the Managers of Seller, certifying that (I) all representations conditions specified in Section 9.2 and warranties made by Seller in this Agreement and in any other agreements, exhibits, schedules or other written statements delivered by Seller in connection with this Agreement are true and correct as of the Closing Date; AND9.4 have been fulfilled.

CERTIFICATION BY SELLER. Buyer shall have received a certificate, dated as of the Closing Date, signed by Seller' Presidents certifying, in such detail as Buyer and its counsel may reasonably request, that the Managers of Seller, certifying that (I) all representations and warranties made by Seller in this Agreement and in any other agreements, exhibits, schedules or other written statements delivered by Seller in connection with this Agreement set out herein are true and correct as of the Closing Date; AND.
