Common use of Certification of Financial Statements Clause in Contracts

Certification of Financial Statements. Each financial statement provided hereunder shall be certified by the chief financial representative of Borrowers. Borrowers will maintain a system of accounting established and administered in accordance with sound business practices to (i) permit preparation of financial statements on an accrual basis consistent with industry standards and substantially in accordance with GAAP, and (ii) provide the information required to be delivered to Administrative Agent hereunder.

Each financial statement provided by Borrower or Guarantor hereunder shall be in scope and detail reasonably satisfactory to Administrative Agent and certified by the chief financial representative of BorrowersBorrower. Borrowers Borrower will maintain a system of accounting established and administered in accordance with sound business practices to (i) permit preparation of financial statements on an accrual basis consistent with industry standards and substantially in accordance with GAAP, GAAP and (ii) provide the information required to be delivered to Administrative Agent hereunder.
