Certification Procedures. 1. Sanitary and phytosanitary certification procedures shall be harmonized with international standards of the OIE and IPPC and Codex Alimentarius Commission (FAO).
2. The importing Party may conduct a prior evaluation and audit of some or all of the certification process and the provision of production, processing and / or treatment of animal products and by-products of animal and plant products and by- products of plant origin.
Certification Procedures. The CB is to have the required facilities and documented procedures to enable the IT product or protection profile certification to be carried out in accordance with the applicable IT security evaluation criteria and methods.

Certification Procedures. 1. The Certificate of Origin shall be forwarded by the exporter or producer to the importer. The customs administration may require the original copy.
2. Neither erasures nor superimposition shall be allowed on the Certificate of Origin. Any alterations shall be made by striking out the erroneous material and making any addition(s) that may be required. Such alterations shall be approved by a person authorised to sign the Certificate of Origin and certified by the appropriate issuing body or authority. A new certificate may be issued to replace the erroneous one. Unused spaces shall be crossed out to prevent any subsequent addition(s).
3. The Certificate of Origin shall be issued prior to or within 5 working days of the date of exportation. However, under exceptional cases, where a Certificate of Origin has not been issued at the time of exportation or within 5 working days from the date of shipment due to involuntary errors or omissions, or any other valid reasons, the Certificate of Origin may be issued retrospectively, bearing the words "ISSUED RETROSPECTIVELY" in the Certificate of Origin, with the issuing body or authority also recording the reasons in writing on the exceptional circumstances due to which the certificate was issued retrospectively. The Certificate of Origin can be issued retrospectively no later than 12 months from the date of shipment.
4. In cases of theft, loss or accidental destruction of a Certificate of Origin, the exporter, producer or an authorised representative thereof may, within the term of validity of the original Certificate of Origin, make a written request to the issuing body or authority that issued the original certificate for a certified copy. The certified copy shall bear the words "CERTIFIED TRUE COPY". The certified copy shall have the same term of validity as the original Certificate of Origin.
Certification Procedures. (i) Within two (2) days after the date of this Agreement, a Certification Form as specified by Parent prior to the date hereof shall be delivered by the Company to each Company Securityholder (other than the Company Securityholders that signed the Certification Forms on or prior to the date hereof) (the date on which such mailing is commenced, the “Mailing Date”). The Certification Form shall provide that each Company Securityholder that executes the form is an Accredited Investor and that such Certification Form must be executed and delivered to the Company within ten (10) days of receipt. Such Certification Form shall require each such holder to specify and prove to Parent, in its reasonable belief, that such holder is an Accredited Investor.
(ii) Any Company Securityholder that Parent determines is not an Accredited Investor based on the Certification Form, and any Company Securityholder that does not deliver such a Certification Form prior to the delivery of the Spreadsheet, will receive solely cash for such holder’s portion of the Merger Consideration in respect of his, her or its Company Capital Stock instead of the mix of cash and Parent Common Stock provided for herein.
Certification Procedures. Not less than five (5) Business Days prior to the Closing Date, the Company shall have delivered to Buyer, on behalf of each holder of Company Capital Stock, a certification form as specified by Buyer and reasonably acceptable to the Company (the “Certification Form”) establishing whether each such holder of Company Capital Stock is an “accredited Investor” within the meaning of Rule 501 of the Securities Act (each, an “Accredited Investor”).
Certification Procedures. Within three (3) Business Days after the date of this Agreement, a Certification Form as specified by Parent prior to the date hereof shall be delivered by the Company to each Company Stockholder (other than the Company Stockholders that signed the Certification Forms on or prior to the date hereof) (the date on which such mailing is commenced, the “Mailing Date”). The Certification Form shall provide that each Company Stockholder that executes the form is an Accredited Investor or is not a U.S. Person and that such Certification Form must be executed and delivered to the Company within ten (10) days of receipt. Such Certification Form shall require each such holder to specify and prove to Parent, in its reasonable belief, that such holder is an Accredited Investor or is not a U.S. Person.
Certification Procedures. (i) Not less than five (5) Business Days prior to the Closing Date, the Company shall have delivered to the Parent, on behalf of each holder of Company Capital Stock, each holder of Company Options and each holder of Company Warrants that is an “accredited Investor” within the meaning of Rule 501 (each, an “Accredited Investor”) of the Securities Act, a certification form as specified by Parent and reasonably acceptable to the Company (the “Certification Form”) establishing whether each such holder of Company Capital Stock is an Accredited Investor. Such Certification Form shall require each holder to specify and prove to the Parent, in its reasonable belief, that such holder is an Accredited Investor.
(ii) Any holder of Company Capital Stock that Parent reasonably determines is not an Accredited Investor based on the Certification Form (with the understanding that Parent, in its sole discretion, may decide to deem any holder who has not submitted a completed Certification Form at least two (2) Business Days prior to the Closing Date to be a non-Accredited Investor) will receive cash for such holder’s portion of the Aggregate Consideration in respect of such Company Capital Stock instead of any Parent Common Stock.
Certification Procedures. (i) Within five (5) days after the date hereof, a certification form as specified by Parent and reasonably acceptable to the Company (the “Certification Form”) shall be mailed by the Company to each holder of Company Capital Stock. The Certification Form shall seek to establish whether each holder of Company Capital Stock is an “accredited investor” within the meaning of Rule 501 (“Accredited Investor”) of the Securities Act. Such Certification Form shall require each holder to specify and prove to Parent, in its reasonable belief, that such holder is an Accredited Investor.
(ii) Any holder of Company Capital Stock that Parent determines is not an Accredited Investor based on the Certification Form will receive cash for such holder’s portion of the Total Consideration in respect of such Company Capital Stock instead of any Parent Common Stock.
Certification Procedures. (a) When it accepts a design for certification in accordance with clause 10.1, Ausgrid will carry out a design certification check.
(b) Within a reasonable time after accepting the design, Ausgrid must provide to the ASP/3, (and notify the Customer that it has done so), either:
(1) written confirmation that the design has been certified, together with a certification number; or
(2) a list of defects in the design that the ASP/3 must rectify before Ausgrid will certify the
(c) When Ausgrid has certified the design, whether in accordance with clause 10.3(b)(1) or after the ASP/3 has rectified the defects in the design notified by Ausgrid in accordance with clause 10.3(b)(2), Ausgrid will issue the certified design to the ASP/3 and notify the Customer that the certified design has been issued.
(d) The Customer acknowledges that for complex projects, Ausgrid may need to conduct technical evaluations of a design before it can certify the design and in such cases Ausgrid may take further time to provide a response under clause 10.3(b).
