CERTIFICATION, REPRESENTATIONS AND WARRANTIES. Originator hereby certifies to National Financial that all applicable requirements of Article III of the Purchase Agreement have been fully satisfied and that all representations and warranties of Originator set forth in Section 4.1(a) of the Purchase Agreement are true and correct on and as of the date hereof and all representations and warranties of Originator set forth in Section 4.1(b) of the Purchase Agreement are true and correct on and as of the date hereof with respect to the Subsequent Receivables sold hereby. The aggregate outstanding principal balance of the Subsequent Receivables sold hereby as of the applicable Cut-off Date is $__________________.
