Common use of Certified Charter Documents Clause in Contracts

Certified Charter Documents. A copy of (1) the Certificate of Incorporation certified as of a recent date by the Secretary of State of Delaware as a complete and correct copy thereof, (2) the Certificate of Designations certified as of a recent date by the Secretary of State of Delaware and (3) the Bylaws of the Company (as amended through the date of the Closing) certified by the Secretary of the Company as a true and correct copy thereof as of the Closing.

Certified Charter Documents. A copy of (1) the Company's Certificate of Incorporation (certified as of a recent date by the Delaware Secretary of State of Delaware State) and Bylaws, as a complete and correct copy thereofamended, (2) the Certificate of Designations certified as of a recent date by the Secretary of State of Delaware and (3) the Bylaws of the Company (as amended through the date of the Closing) certified by the Secretary of the Company as a true and correct copy thereof as of the each Closing.

Certified Charter Documents. A copy of (1) the Certificate of Incorporation certified as of a recent date by the Secretary of State of Delaware as a complete and correct copy thereof, (2) the Certificate of Designations certified as of a recent date by the Secretary of State of Delaware and (3) the Bylaws of the Company (as amended through the date of the Closing) ), certified by the Secretary of the Company as a true and correct copy copies thereof as of the Closing.
