Common use of Certified Copies of Charter Documents Clause in Contracts

Certified Copies of Charter Documents. The Agent shall have received from the Borrower and each of the Guarantors a copy, certified by a duly authorized officer of such Person to be true and complete on the Closing Date, of each of (a) its charter or other incorporation documents as in effect on such date of certification, and (b) its by-laws as in effect on such date.

Certified Copies of Charter Documents. The Administrative Agent shall have received from the Borrower and each of the Guarantors Borrowers a copy, certified by a duly authorized officer of such Person to be true and complete on the Closing Date, of each of (a) its charter or other incorporation documents as in effect on such date of certification, certification and (b) its by-laws as in effect on such date.

Certified Copies of Charter Documents. The Administrative Agent shall have received from each of the Borrower and each the other members of the Guarantors Borrower Affiliated Group a copy, certified by a duly authorized officer of each of the Borrower and such Person other members of the Borrower Affiliated Group to be true and complete on the Closing Date, of each of (ai) its charter or other incorporation documents documents, as in effect on such date of certification, certified by the Secretary of State of its jurisdiction of incorporation, and (bii) its by-laws as in effect on such date.

The Administrative Agent shall have received from the Borrower and each of the Guarantors Apparel Obligors a copy, certified by a duly authorized officer of such Person to be true and complete on the Closing Date, of each of (a) its charter or other incorporation documents as in effect on such date of certification, and (b) its by-laws as in effect on such date.

The Agent shall have received from the Borrower and each of the Guarantors Subsidiary a copy, certified by a duly authorized officer of such Person to be true and complete on the Closing Date, of each of (a) its charter or other incorporation documents as in effect on such date of certification, and (b) its by-laws bylaws as in effect on such date.

Certified Copies of Charter Documents. The Agent shall have received from the Borrower and each of the Guarantors (a) a copy, certified by a duly authorized officer of such Person the Borrower to be true and complete on the Closing Date, of each of (a) its charter or other incorporation documents as in effect on such date of certification, certification and (b) its by-laws as in effect on such date, or (b) a certificate of a duly authorized officer of the Borrower certifying that such documents have not changed since August 7, 1997.

The Agent shall have received from the Borrower and each of the Guarantors a copy, certified by a duly authorized officer of such Person to be true and complete on the Closing Date, of each of (a) its charter or other incorporation documents as in effect on such date of certification, and (b) its by-laws laws, each including all amendments thereto, and each as in effect on such datethe Closing Date.

The Administrative Agent shall have received from the Borrower and each of the Guarantors a copy, certified by a duly authorized officer of such Person the Borrower to be true and complete on and as of the Closing Datedate hereof, of each of (aA) its the charter or other incorporation documents as of the Borrower in effect on such date of certification, and (bB) its the by-laws of the Borrower as in effect on such date.

The Agent shall have received from the Borrower and each of the Guarantors a copy, certified by a duly authorized officer of such Person to be true and complete on the Closing Date, of each of (a) its charter or other incorporation documents (or the equivalent constitutive documents) as in effect on such date of certification, and (b) its by-laws or the equivalent constitutive documents as in effect on such date.

The Agent shall have received from the Borrower and each of the Guarantors a copy, certified by a duly authorized officer of such Person to be true and complete on the Closing Date, of each of (ai) its charter or other incorporation documents as in effect on such date of certification, and (bii) its by-laws as in effect on such date.

The Agent shall have received from the Borrower and each of the Guarantors a copy, certified by a duly authorized officer of such Person to be true and complete on the Closing Date, of each of (a) its charter or other incorporation documents (or the equivalent constitutive -43- documents) as in effect on such date of certification, and (b) its by-laws or the equivalent constitutive documents as in effect on such date.

The Agent shall have received from the Borrower and each of the Guarantors its Domestic Subsidiaries a copy, certified by a duly authorized officer of such Person to be true and complete on the Closing Date, of each of (a) its charter or other incorporation documents as in effect on such date of certification, and (b) its by-laws as in effect on such date.

The Agent Managing Agents shall have received from the Borrower and each Subsidiary of the Guarantors Borrower, a copycopy of each of (a) its charter or other incorporation documents, certified by the Secretary of State of the jurisdiction of incorporation of such Person, as in effect on such date of certification, and (b) its by-laws, certified by a duly authorized officer of such Person to be true and complete on the Closing Date, of each of (a) its charter or other incorporation documents as in effect on such date of certification, and (b) its by-laws Date as in effect on such date.

Certified Copies of Charter Documents. The Administrative Agent shall have received from the Borrower and each of the Guarantors Obligors a copy, certified by a duly authorized officer of such Person to be true and complete on the Closing Amendment No. 1 Effective Date, of each of (ai) its charter or other incorporation documents as in effect on such date of certification, and (bii) its by-laws as in effect on such date. Such certified copies shall be in form and substance reasonably satisfactory to the Administrative Agent.

Certified Copies of Charter Documents. The Agent Administrative Agents shall have received from the Borrower and each Subsidiary of the Guarantors Borrower, other than any Excluded Subsidiary, a copycopy of each of (a) its charter or other incorporation documents, certified by the Secretary of State of the jurisdiction of incorporation of such Person, as in effect on such date of certification, and (b) its by-laws, certified by a duly authorized officer of such Person to be true and complete on the Closing Date, of each of (a) its charter or other incorporation documents as in effect on such date of certification, and (b) its by-laws Date as in effect on such date.. 95 -88-
