Common use of Certified Copies of Charter Documents Clause in Contracts

Certified Copies of Charter Documents. Each of the Banks and the Administrative Agent shall have received from the Company, the General Partner and Xxxxxxx Xxxxxxxxx (a) a copy of its certificate of limited partnership, certificate of incorporation, certificate of formation or other charter document duly certified as of a recent date by the Secretary of State of Delaware, (b) a copy, certified by a duly authorized officer of such Entity to be true and complete on the Closing Date, of its agreement of limited partnership, by-laws, limited liability company agreement or equivalent document as in effect on such date, and (c) a certificate of the Secretary of State of Delaware as to the due organization, legal existence, and good standing of such Entity. The certificate of incorporation, partnership agreement and by-laws, certificate of limited partnership or certificate of formation of limited liability company agreement, as the case may be, of the Company, the General Partner and Xxxxxxx Xxxxxxxxx shall be in all respects satisfactory in form and substance to the Banks and the Administrative Agent.

Each of the Banks and the Administrative Agent shall have received from the CompanyUS Guarantor, the General Partner and Xxxxxxx Xxxxxxxxx the Borrower (a) a copy of its certificate of limited partnership, certificate of incorporation, certificate of formation or other charter document duly certified as of a recent date by the Secretary of State of Delaware, (b) a copy, certified by a duly authorized officer of such Entity to be true and complete on the Closing Date, of its agreement of limited partnership, by-laws, limited liability company agreement or equivalent document as in effect on such date, and (c) a certificate of the Secretary of State of Delaware as to the due organization, legal existence, and good standing of such Entity. The certificate of incorporation, partnership agreement and by-laws, certificate of limited partnership or certificate of formation of limited liability company agreement, as the case may be, of the CompanyUS Guarantor, the General Partner and Xxxxxxx Xxxxxxxxx the Borrower shall be in all respects satisfactory in form and substance to the Banks and the Administrative Agent.
