Common use of Certified Copies of Organizational Documents Clause in Contracts

Certified Copies of Organizational Documents. Lender shall have received from each Borrower a copy, certified by a duly authorized officer of such Borrower to be true and complete on the Closing Date, of each of its Organizational Documents as in effect on such date of certification and, in the case of the articles of organization or similar formation documents for such Borrower, such document shall have been certified as of a recent date by the secretary of its state of formation.

Certified Copies of Organizational Documents. The Lender shall have received from each of the Borrower and the other members of the Borrower Affiliated Group a copy, certified by a duly authorized officer of each of the Borrower and such other members of the Borrower Affiliated Group to be true and complete on the Closing Date, of each of (i) its Organizational Documents charter or other incorporation documents, as in effect on such date of certification andcertification, in the case of the articles of organization or similar formation documents for such Borrower, such document shall have been certified as of a recent date by the secretary Secretary of State of its state jurisdiction of formationincorporation (or jurisdictional equivalent), and (ii) its by-laws or other governance documents as in effect on such date.

Lender shall have received from each Borrower a copy, certified by a duly authorized officer of such each Borrower to be true and complete on the Closing Date, of each of its Organizational Documents organizational documents as in effect on such date of certification and, in the case of the articles certificate of organization formation or similar formation documents document for such Borrower, such document shall have been certified as of a recent date no later than 30 days prior to the Closing Date by the secretary of its state of formation.

Lender shall have received from each Borrower a copy, certified by a duly authorized officer of such Borrower to be true and complete on the Restatement Closing Date, of each of its Organizational Documents as in effect on such date of certification and, in the case of the articles of organization or similar formation documents for such Borrower, such document shall have been certified as of a recent date by the secretary of its state of formation.
