Common use of Certified Documents and Resolutions Clause in Contracts

Certified Documents and Resolutions. The Insurer shall have received a copy of (i) the certificate or articles of incorporation and bylaws of the Servicer, the Seller and the Depositor and (ii) the resolutions of the Seller’s Board of Directors authorizing the sale of the Contracts and (iii) the execution, delivery and performance by the Servicer, the Seller and the Depositor of the Transaction Documents and the Transaction contemplated thereby, certified by the Secretary or an Assistant Secretary of the Servicer, the Seller and the Depositor (which certificate shall state that such certificate or articles of incorporation, bylaws and resolutions are in full force and effect without modification on the Date of Issuance).
