Common use of Cessation of Members Clause in Contracts

Cessation of Members. Any Person admitted or deemed admitted as a Member pursuant to Section 3.01(a) or Section 3.01(b) shall cease to have the rights of a Member under this Agreement at such time that such Person is no longer a record owner of any Units (except as provided under Section 12.02, which rights shall not cease), but such Person shall remain bound by all of the provisions of this Agreement except those, if any, that expressly terminate upon cessation of being a Member.

Cessation of Members. Any Person admitted or deemed admitted as a Member pursuant to Section 3.01(a4.1(a) or Section 3.01(b4.1(b) shall cease to have the rights of a Member under this Agreement at such time that such Person is no longer a record owner of any Units (except as provided under Section 12.02, which rights shall not cease)Units, but such Person shall remain bound by all of the provisions of this Agreement except those, if any, that expressly terminate upon cessation of being a Member.

Any Person admitted or deemed admitted as a Member pursuant to Section 3.01(a2.1(a) or Section 3.01(b2.1(b) shall cease to have the rights of a Member under this Agreement at such time that such Person is no longer a record owner of any Units equity interest (except as provided under Section 12.028, which rights shall not cease), but such Person shall remain bound by all of the provisions of this Agreement except those, if any, that expressly terminate upon cessation of being a Member.
