Common use of Cessation of Offerings Clause in Contracts

Cessation of Offerings. If at any time the Board of Directors of the Company determines in good faith to abandon the formation of the Company or the Offerings, the Operating Partnership will so advise the Grantor in writing and thereupon all parties hereto will be relieved of all obligations under this Agreement and all Closing Documents (except for obligations arising under Sections 2.5, 2.6, 3.5, 4.2 and 6.10).
