Common use of Cessation of Rights and Obligations Clause in Contracts

Cessation of Rights and Obligations. Upon termination of this Contract pursuant to Clauses 6.2.2.7 hereof, or upon expiration of this Contract, all rights and obligations of the Parties hereunder shall cease, except (i) such rights and obligations as may have accrued on the date of termination or expiration, (ii) the obligation of confidentiality set forth in Clause 6.2.3.3 hereof, (iii) the Agency’s obligation to pay Damages or Liquidated Damages permit inspection, copying and auditing of their accounts and records as set forth in Clause 6.2.3.5 hereof, and (iv) any right which a Party may have under the Law.

Cessation of Rights and Obligations. Upon termination of this Contract Agreement pursuant to Clauses 6.2.2.7 2.3 or 2.9 hereof, or upon expiration of this ContractAgreement pursuant to Clause 2.4 hereof, all rights and obligations of the Parties hereunder shall cease, except (i) such rights and obligations as may have accrued on the date of termination or expiration, or which expressly survives such Termination; (ii) the obligation of confidentiality set forth in Clause 6.2.3.3 3.3 hereof, ; (iii) the AgencyConsultant’s obligation to pay Damages or Liquidated Damages permit inspection, copying and auditing of their such of its accounts and records as set forth in Clause 6.2.3.5 hereof3.5, as relate to the Consultant’s Services provided under this Agreement, and (iv) any right or remedy which a Party may have under this Agreement or the LawApplicable Laws.
