CFO and CAO Certificate. On the date of this Agreement and on the Closing Date or the Additional Closing Date, as the case may be, the Company shall have furnished to the Representatives a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its chief financial officer and chief accounting officer, on behalf of the Company, with respect to certain financial data contained in the Pricing Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representatives.
CFO and CAO Certificate. At the time of execution of this Agreement, the Representatives shall have received a certificate of the Chief Financial Officer and the Chief Accounting Officer of the Company, dated as of such date, in form and substance previously agreed to by, and reasonably satisfactory to the Underwriters, with respect to certain financial data contained in the Registration Statement, Time of Sale Prospectus and the Prospectus, providing “management comfort” with respect to such information. As of the First Closing Date and each Optional Closing Date, the Representatives shall have received a certificate, dated as of such date, of the Chief Financial Officer and the Chief Accounting Officer of the Company confirming that the certificate delivered by the Company at the time of execution of this Agreement pursuant to the prior sentence of this Section 6(o) hereof remains true and correct as of such date.
