Chain Services. Commencing with the Take-Over Date and thereafter during the Term of this Agreement, Manager shall cause Marriott to cause to be furnished to the Hotel certain services (collectively referred to herein as "Chain Services") that are furnished generally on a central, regional or other group basis to other hotels in the Marriott System and which benefit such hotels such as: (i) national sales office services; central training services; career development and relocation of management personnel; central advertising and promotion (including direct and image media and advertising administration); the Marriott national reservations system services and the Marriott computer payroll and accounting services; benefits administration; gift shop merchandise handling; and (ii) such additional central, regional or other group services as are or may be, from time to time, furnished for the benefit of hotels in the Marriott System or in substitution for services now performed at individual hotels which may be more efficiently performed on a group basis. The charges for Chain Services shall include, as applicable, allocation of salaries, wages, and overhead related to the employees of Marriott, or any Affiliate involved in providing any of the Chain Services and shall be allocated on a fair basis among all hotels receiving such services. At the time of the delivery of each Annual Operating Statement, Manager shall cause Marriott to deliver to Manager a certification executed by an officer of Marriott that (i) the allocation of charges for Chain Services is consistent with GAAP and generally accepted hotel practices, (ii) such charges are allocated among the hotels in the Marriott System in a fair and equitable manner, and (iii) the method of allocation of such expenses has not been changed since the date of this Agreement or, if they have changed, advising Manager of the details of such change. Manager shall promptly forward a copy of such certificate to Lessee.

Chain Services. A. Manager shall, beginning with the Effective Date and thereafter during the Term of this Agreement, cause Chain Services to be furnished to each Hotel. B. Costs and expenses incurred in the providing of Chain Services shall be allocated on a fair and equitable basis among all Courtyard by Marriott hotels owned, leased, operated or managed by Manager in the United States which benefit from these services. Such allocation shall be made without regard to any "caps" or other limitations on the amount which Manager may charge to a given hotel, pursuant to agreements which Manager may have with the owner of such hotel. Any excess of that portion of such costs and expenses which is fairly allocated to a given hotel over the "cap" which may be in effect with regard to that hotel shall be paid by Manager from its own funds and shall not be a Deduction. Manager shall make no profit from amounts paid for Chain Services. In no event will the total charge for all of the Chain Services which are described in the definition of Chain Services in Section 1.01 (exclusive of reservation system services), for any given Fiscal Year, exceed five percent (5%) of Gross Revenues for such Fiscal Year. The parties hereby stipulate that the limitation set forth in the preceding sentence is intended to apply only to the services which are currently listed (as of the Effective Date) in the definition of Chain Services in Section 1.01; accordingly, if there are types of expenditures which were originally treated as Deductions (other than pursuant to Paragraph 9 of the definition of "Operating Profit" in Section 1.01), but which are later determined to be more properly treated as Chain Services, such expenditures shall be treated as Deductions pursuant to said Paragraph 9 of the definition of "Deductions" without regard to the aforesaid limitation. If services currently provided as Chain Services are subsequently determined to be appropriately charged as Deductions, the cost of the services will continue to be considered as a Chain Service cost in determining the total charge allowed under the "cap" of five percent (5%) of Gross Revenues.
Chain Services. Management Company will, during the term of this Agreement, cause to be furnished to each Inn certain services ("Chain Services") which are furnished generally on a central or regional basis to all Fairfield Inn properties in the Fairfield Inn chain which are managed by Management Company or any Marriott Affiliate and which benefit each such Fairfield Inn property as a participant in the Fairfield Inn system. Chain Services shall include: (i) development and operation of computer systems; (ii) computer payroll services; (iii) accounting services supporting Fairfield Inn properties managed or operated by Management Company or any Marriott Affiliate; (iv) regional engineering support; and (v) such additional central or regional services as may from time to time be furnished for the benefit of inns in the Fairfield Inn system or in substitution for services now performed at individual inns which may be more efficiently performed on a group basis. Costs and expenses incurred in the provision of such services shall be allocated on the basis of relative Gross Revenues for the most recently concluded Fiscal Year for all Fairfield Inn properties owned, leased or managed by Management Company or a Marriott Affiliate in the United States receiving the same.

Chain Services. A. Management Company shall, beginning with the Effective September 13, 1993 117 Date and thereafter during the Term of this Agreement, cause to be furnished to the Inn certain services ("Chain Services") which are furnished generally on a central or regional basis to other Residence Inn hotels in the Residence Inn System managed by the Manager. Chain Services shall include: (i) national sales office services; central training services; career development; and the Residence Inn computer payroll and central accounting services; and (ii) such additional central or regional services as are or may be, from time to time, furnished for the benefit of hotels in the Residence Inn System or in substitution for services now performed at individual inns which may be more efficiently performed on a group basis; including, but not limited to, regional managers and accounting staff; provided, however, that services not currently included in chain services pursuant to subsections 11.03.A(i) and 11.03.A(ii) above, shall only be added to "Chain Services" if, and to the extent that, such services: (a) are not services included in the Residence Inn System Fee (it being understood that Management Company's sole compensation for providing the Residence Inn System Services shall be receipt of the Residence Inn System Fee); (b) are not services relating to non-routine work (it being understood that the cost and expense of such non-routine services shall be Deductions as set forth in paragraph 6 of the definition of September 13, 1993 118 Operating Profit); and (c) are either (x) new services (i.e., not previously performed at or for the Inn) or (y) services which theretofore had been performed at the Inn, but which can be performed more efficiently and economically on a centralized or regional basis. B. Costs and expenses incurred in the providing of Chain Services shall be allocated on a fair and equitable basis among all Residence Inns owned, leased or managed by Management Company in the United States. Such allocation shall be made without regard to any "caps" or other limitations on the amount which Management Company or its Affiliates may charge to a given inn, pursuant to agreements which Management Company (or its Affiliates) may have with the owner of such inn. Any excess of that portion of such costs and expenses which is fairly allocated to a given inn over the "cap" which may be in effect with regard to that inn shall be paid by Management Company from its own funds. ...

Chain Services shall include: (i) divisional executive management; (ii) sales office services; the development of programs for training and manpower development; and computer payroll and accounting services; and (iii) such additional central and regional services as may from time to time be furnished for the benefit of inns in the "Residence Inn by Marriott" System or in substitution for services now performed at individual inns which may be more efficiently performed on a group basis. The services described in this Section 10.02 shall not include services which are described in the definitions of "Base Management Fee" and "Residence Inn System Fee." Costs and expenses incurred in the providing of such services shall be allocated on a fair and equitable basis, on a "per-suite" basis, among all "Residence Inn by Marriott" inns managed by Manager in the United States receiving the same. To the extent that services described in this Section 10.02 have been funded through the Marketing Fund, there will be no allocation of the costs and expenses thereof under this Section 10.02.
