Common use of CHANGE APPLICABLE FUNDING OFFICE Clause in Contracts

CHANGE APPLICABLE FUNDING OFFICE. If a Lender makes any claim under Section 5.01 or Section 5.06 in respect of Additional Costs of Taxes, such Lender shall be obligated to use reasonable efforts to designate a different Applicable Lending Office for the Commitment or the Loans of such Lender affected by such event if such designation will avoid the need for, or reduce the amount of, such compensation or the imposition of any Taxes and will not, in the sole opinion of such Lender, be disadvantageous to such Lender; provided that such Lender shall have no obligation to so designate an Applicable Lending Office located in the United States.
