Change Authorizations. A Party may, by written notice to the other Party, request changes to an SOW. The Parties will consider in good faith such proposed changes and any comments to such proposed changes by the other Party. If each Party, in its sole discretion, agrees to such proposed changes to an SOW, then a written description of the agreed changes, including any adjustments to specifications, deliverables, timelines and costs on account of such change (a “Change Authorization”) will be prepared by the Party requesting the change, which both Parties must sign before such changes will take effect. The terms of a Change Authorization will prevail over those of the applicable Instrument SOW, Cartridge SOW or Services SOW.
Change Authorizations. The Contract Administrator is authorized to increase or decrease the maximum funding allocated to Consultant in the Agreement as expressed herein to maximize the beneficial impact of the expenditure of County funds. Such adjustments shall be made by the HSD Director or Deputy Director in writing in accordance with this subsection, and shall include corresponding revisions to the maximum units of service and minimum number of Clients served, as applicable. 4.2.1 Any Change Authorization(s) for adjustments increasing the total annual maximum funding amount by ten percent (10%) or less may be signed by the HSD Director or Deputy Director and Consultant, using a standard Change Authorization in the form attached hereto as Exhibit F. 4.2.2 Any Change Authorization(s) increasing the total annual maximum funding by more than ten percent (10%) may be signed by the HSD Director or Deputy Director and Consultant after the Board has approved the funding increase and has conferred such authority upon the HSD Director or Deputy Director. 4.2.3 All Change Authorizations issued by the Contract Administrator shall contain, at a minimum, the following information and requirements: 4.2.3.1 A description of the adjustments being made (which description must specify in detail the adjustments and revisions to the maximum units of service and Clients served). 4.2.3.2 Any other additional instructions or provision relating to the work authorized pursuant to this Agreement. 4.2.3.3 Change Authorizations shall be dated, sequentially numbered, and signed by both Parties and shall expressly reference this Agreement.

When such adjustments are triggered by reallocation of funds by the Planning Council or are in furtherance of the objectives of the ▇▇▇▇ ▇▇▇▇▇ Act, its programs and HRSA, such adjustments shall be made by Change Authorization (s), which may be signed by the HSD Director or Deputy Director. 4.2.1 All Change Authorizations issued by the Contract Administrator shall contain, at a minimum, the following information and requirements: A. A description of the adjustments being made (which description must specify in detail the adjustments and revisions to the maximum units of service and Clients served). B. Any other additional instructions or provision relating to the work authorized pursuant to this Agreement. C. Change Authorizations shall be dated, sequentially numbered, and signed by both Parties and shall expressly reference this Agreement. 4. Add Section 4.10 as follows:
Change Authorizations. OWNER may unilaterally, by written order of the OWNER’s contract administrator, make changes, revisions, additions, or deletions (collectively hereinafter called "changes") in the Work within the general scope of services provided by the CONTRACTOR. If any change causes an increase or decrease in the CONTRACTOR’s cost or time for the performance of any part of the Work, whether or not changed by such change authorization, the OWNER shall make an equitable adjustment in the Contract Time and/or Contract Price by Change Order.
