Common use of Change in Business of the Servicer Clause in Contracts

Change in Business of the Servicer. The Unaffiliated Seller has entered into this Agreement with the Servicer in reliance upon its ability to perform the servicing duties without any delegation thereof; the adequacy of its plant, personnel, records and procedures; its integrity, reputation and financial standing and the continuance of each of the foregoing. The Servicer shall not (a) make any material change in the character of its servicing business; or (b) merge with or into or consolidate with or into, or convey, transfer, lease or otherwise dispose of all or substantially all of its assets (whether now owned or hereafter acquired), or acquire all or substantially all of the assets or capital stock or other ownership interest of, any other corporation, unless (x) the Servicer has notified each Rating Agency, and the Trustee, at least 30 days prior to such action and (y) the Trustee and the Rating Agencies have consented to such action (such consent not to be unreasonably withheld).
