Change in Canadian Securities Laws. If during the period of distribution of the Units there shall be any change in Canadian Securities Laws that, in the opinion of the Underwriters, acting reasonably, requires the filing of a Prospectus Amendment, Pretivm shall, to the satisfaction of the Underwriters, acting reasonably, promptly prepare and file such Prospectus Amendment with the appropriate Canadian Securities Regulator in each of the Qualifying Provinces where such filing is required.

If during the period of distribution of the Units Shares there shall be any change in Canadian Securities Laws that, in the opinion of the Underwriters, acting reasonably, which requires the filing of a Prospectus an Offering Document Amendment, Pretivm the Company shall, to the satisfaction of the Underwriters, acting reasonably, promptly prepare and file such Prospectus Offering Document Amendment with the appropriate Canadian Securities Regulator in each of the Canadian Qualifying Provinces Jurisdictions where such filing is required.

If during the period of distribution of the Units Shares and the Offered Shares there shall be any change in Canadian Securities Laws that, in the opinion of the Underwriters, acting reasonably, requires the filing of a Prospectus Amendment, Pretivm the Company shall, to the satisfaction of the Underwriters, acting reasonably, promptly prepare and file such Prospectus Amendment with the appropriate Canadian Securities Regulator in each of the Qualifying Provinces where such filing is required.
