Common use of Change in Capitalization Clause in Contracts

Change in Capitalization. (a) The number and kind of unvested Restricted Shares shall be proportionately adjusted for any increase or decrease in the number of issued shares of Common Stock resulting from a subdivision or combination of shares or the payment of a stock dividend in shares of Common Stock to holders of outstanding shares of Common Stock or any other increase or decrease in the number of shares of Common Stock outstanding is effected without receipt of consideration by the Company. No fractional shares shall be issued in making such adjustment.

Change in Capitalization. (a) The number and kind of unvested Restricted Shares shall be proportionately adjusted for any increase or decrease in nonreciprocal transactions between the number Company and the holders of issued shares capital stock of Common Stock resulting from a subdivision or combination the Company that causes the per share value of shares or the payment of a stock dividend in shares of Common Stock to holders of outstanding shares of Common Stock change, such as a stock dividend, stock split, spinoff, rights offering, or any other increase or decrease in the number of shares of Common Stock outstanding is effected without receipt of consideration by the Company. No fractional shares shall be issued in making such adjustmentrecapitalization through a large, nonrecurring cash dividend (each, an “Equity Restructuring”).

No fractional shares shall be issued in making such adjustmentdistribution (each, an “Equity Restructuring”).

(a) The number and kind of unvested Performance Restricted Shares Stock Rights and the shares of Common Stock issuable pursuant thereto shall be proportionately adjusted for any increase or decrease in the number of issued shares of Common Stock resulting from a subdivision or combination of shares or the payment of a stock dividend in shares of Common Stock to holders of outstanding shares of Common Stock or if any other increase or decrease in the number of shares of Common Stock outstanding is effected without receipt of consideration by the Company. No fractional shares shall be issued in making such adjustment.

No fractional shares shall be issued in making such adjustment.

No fractional shares shall be issued in making such adjustment.

No fractional shares shall be issued in making such adjustment.
