Common use of Change in Credit and Collection Policies or Business Clause in Contracts

Change in Credit and Collection Policies or Business. (i) Make or consent to any change in, or waive any of the provisions of, the Credit and Collection Policies in a manner that could be adverse to the interests of the Purchaser Parties without the prior written consent of the Buyer, Administrative Agent, and the Required Purchasers or (ii) make any change in the character of Seller’s business that has or could reasonably be expected to materially and adversely affect the ability of Seller to perform its obligations hereunder or that would prevent Seller from conducting its business operations relating to the Receivables, its servicing of the Receivables or the performance of its duties and obligations hereunder or under the other Transaction Documents, without the prior written consent of Buyer, Administrative Agent and the Required Purchasers.

(i) Make or consent to any change in, or waive any of the provisions of, the Credit and Collection Policies in a manner that could be adverse to the interests of the Purchaser Credit Parties without the prior written consent of the Buyer, Administrative Agent, and the Required Purchasers Lenders or (ii) make any change in the character of Sellersuch Originator’s business that has or could reasonably be expected to materially and adversely affect the ability of Seller such Originator to perform its obligations hereunder or that would prevent Seller such Originator from conducting its business operations relating to the Receivables, its servicing of the Receivables or the performance of its duties and obligations hereunder or under the other Transaction Documents, without the prior written consent of Buyer, Administrative Agent and the Required PurchasersLenders.
