Common use of Change in Number of Directors Clause in Contracts

Change in Number of Directors. The Founder and the Investors will not vote for any amendment or change to the Company's Sixth Amended and Restated Certificate of Incorporation or Bylaws providing for the election of more than nine (9) directors, or any other amendment or change to the Certificate of Incorporation or Bylaws inconsistent with the terms of this Agreement.

Change in Number of Directors. The Founder Founders and the Investors will not ----------------------------- vote for any amendment or change to the Company's Sixth Amended and Restated Bylaws or Certificate of Incorporation or Bylaws of the Company providing for the election of more or less than nine eight (9) 8) directors, or any other amendment or change to the Bylaws or Certificate of Incorporation or Bylaws of the Company inconsistent with the terms of this Agreement, unless such amendment or change is unanimously approved by the Preferred Directors and Common Director.

The Founder Founders and the Investors Purchasers will not vote for any amendment or change to the Company's Sixth Amended and Restated Certificate Articles of Incorporation or Bylaws providing for the election of more than nine seven (97) or less than five (5) directors, or any other amendment or change to the Certificate Articles of Incorporation or Bylaws inconsistent with the terms of this Agreement.

The Founder Common Holders and the Investors will use their reasonable efforts to prevent, and will not vote for for, any amendment or change to the Company's Sixth Amended and Restated Certificate of Incorporation or Bylaws providing for the election of more or less than nine seven (97) directors, or any other amendment or change to the Company's Certificate of Incorporation or Bylaws inconsistent with the terms of this Agreement.
