CHANGE IN PAYING OFFICE OR SPECIFIED OFFICE. (a) If any Paying Agent proposes to change its Paying Office or to nominate a further Paying Office (which must be in New York City, California or such other jurisdiction as the Paying Agent, the Manager and the Trustee may agree from time to time), it must give to the Trustee, the Manager, the Note Trustee, the Class A Noteholders (which notice, in the case of the Class A Noteholders, must be given in accordance with Condition 12) and, in the case of a change in the Paying Office of a Paying Agent other than the Principal Paying Agent, the Principal Paying Agent, not less than 30 days' prior written notice of that change, giving the address of the new Paying Office and stating the date on which the change is to take effect. No change of Paying Office may occur within the period between 30 days before and 30 days after any due date for payment of any Class A Notes.
