Common use of CHANGE IN THE ADVISER'S OWNERSHIP Clause in Contracts

CHANGE IN THE ADVISER'S OWNERSHIP. The Adviser agrees that the Adviser shall notify the Trust of any anticipated or otherwise reasonably foreseeable change in the ownership of the Adviser that could (i) materially impact the services provided by the Adviser to a Fund, or (ii) that could result in a change of control of the Adviser under Section 15(a)(4) of the 1940 Act, within a reasonable time prior to said change being effected.

CHANGE IN THE ADVISER'S OWNERSHIP. The Adviser agrees that the Adviser it shall notify provide the Trust with reasonable prior notice of any anticipated or otherwise reasonably foreseeable change in the ownership of the Adviser that could (i) materially impact the services provided by the Adviser to a Fund, or (ii) that could would result in a change of control of the Adviser under control, as that term is defined in Section 15(a)(42(a)(9) of the 1940 Act, within a reasonable time prior to said change being effected.

CHANGE IN THE ADVISER'S OWNERSHIP. The Adviser agrees that the Adviser shall notify the Trust of any anticipated or otherwise reasonably foreseeable change in the ownership of the Adviser provided that could (i) materially impact such change involves a transfer of 10% or more of the services provided by the Adviser to a FundAdviser’s outstanding shares, or (ii) that could result either in a change single transaction or in the aggregate over a period of control of the Adviser under Section 15(a)(4) of the 1940 Act, time. Such notification shall be made within a reasonable time prior to said change being effected.

CHANGE IN THE ADVISER'S OWNERSHIP. The Adviser agrees that the Adviser shall notify the Trust of any anticipated or otherwise reasonably foreseeable change in the ownership of the Adviser that could (i) materially impact the services provided by the Adviser to a Fund, or (ii) that could result in a change of control of the Adviser under Section 15(a)(4) of the 1940 Actchange, within a reasonable time prior to said change being effected, in the ownership of the Adviser to the extent such change would result in an “assignment” of this Agreement (as that term is defined in Section 2(a)(4) of the 1940 Act).
