Change-ln-Control. In the event that, during the Term and within 12 months following a Change-ln-Control, Executive’s employment is terminated by (1) the Company without Justifiable Cause (other than due to Executive’s death or Disability) or (2) Executive for Good Reason, subject to Section 7(g), Executive will be entitled to all the payments and benefits set forth in Section 7(f)(i), except that the Severance Period will instead equal the greater of (A) the amount of time remaining in the Term and (B) 24 months. The payments and benefits set forth in this Section 7(f)(ii) will be in lieu of any and all other payments due and owing to Executive under the terms of this Agreement (other than any accrued amounts or benefits payable under the Benefit Plans).
