Change of Control of Participants Permitted. A transaction which results, directly or indirectly and either immediately or subject to the happening of any contingency, in a change of control of the Participant, shall be expressly permitted and shall not be deemed to be a prohibited transfer by the Participant of its Interest under Section 8.1.
