Common use of Change of Control Period Clause in Contracts

Change of Control Period. For purposes of this Agreement, “Change of Control Period” shall mean (a) the period occurring on the date of a Change of Control and continuing for 30 months thereafter and (b) to the extent that the Executive is terminated without Cause within the 12-month period immediately prior to the date of a Change of Control and there is a reasonable basis to conclude that such termination was at the request or direction of any person acquiring control of the Company in such Change of Control, the 12-month period immediately prior to the date of such Change of Control.

Change of Control Period. For purposes of this Agreement, The “Change of Control Period” shall mean (a) is the period occurring commencing on the date of a this Agreement and ending on the earlier to occur of (i) the Expiration Date, or (ii) the first day of the month coinciding with or next following the Executive’s 65th birthday. The expiration of the Change of Control Period shall not limit the Corporation’s obligation to provide, or the Executive’s right to collect, payments and continuing for 30 months thereafter benefits pursuant to Section 5 and (b) to the extent that the Executive is terminated without Cause within the 12-month period immediately prior to the date of a Change of Control and there is a reasonable basis to conclude that such termination was at the request or direction of any person acquiring control of the Company in such Change of Control, the 12-month period immediately prior to the date of such Change of ControlSection 10 hereof.
