Common use of Change of Law; Severability Clause in Contracts

Change of Law; Severability. In the event any state or federal laws or regulations, now existing or enacted or promulgated after the effective date of this Addendum, are interpreted by judicial decision, a regulatory agency or legal counsel to a party hereto in such a manner as to indicate that any provision of this Addendum may be in violation of such laws or regulations, the parties shall amend this Addendum as necessary. To the maximum extent possible, any such amendment shall preserve the underlying rights, duties and obligations established in this Addendum. If any provisions of this Addendum shall be held by a court of competent jurisdiction to be no longer required by HIPAA, the parties shall exercise their best efforts to determine whether such provision shall be retained, replaced, or modified.
