Change of Name, Identity, Structure or Location; Subjection to Other Security Agreements. Such U.S. Loan Party will not change its name, identity, structure or location (determined as provided in Section 9-307 of the UCC) in any manner, unless it shall have given the Collateral Agent notice thereof contemporaneously with such change. Such U.S. Loan Party shall not in any event change the location of any Collateral or its name, identity, structure or location (determined as provided in Section 9-307 of the UCC), or become bound, as provided in Section 9-203(d) of the UCC, by a security agreement entered into by another Person with respect to any Collateral, if such change would cause the Security Interests in any Collateral to lapse or cease to be perfected unless such U.S. Loan Party has taken on or before the date of lapse all actions reasonably necessary to ensure that the Security Interests in the Collateral do not lapse or cease to be perfected.
