CHANGE OF PROPER LAW. 14.1 Notwithstanding anything contained in this Trust the Trustees may from time to time by instrument declare that this Trust shall from the date of such declaration take effect in accordance with the law of some other place in any part of the world and as from the date of such declaration the law of the place named therein shall be the law applicable to this Trust but subject to the power conferred by this clause and until any further declaration be made thereunder PROVIDED ALWAYS that so often as any such declaration as aforesaid shall be made the Trustees shall be at liberty to make such consequential alterations or additions in or to the trusts powers and provisions of this Trust as the Trustees may consider necessary or desirable to ensure that the trusts powers and provisions if this Trust shall (mutatis mutandis) be as valid and effective as they are under the law of the Island of Guernsey.

CHANGE OF PROPER LAW. 11.1 In this paragraph aQualifying Jurisdiction” is one which recognises trusts (as defined in the Hague Convention on the Law Applicable to Trusts and on their Recognition). 11.2 The Trustees may by a document in writing declare that from the date of such declaration: 11.2.1 the law of any Qualifying Jurisdiction governs the validity of this Trust, and its construction, effects and administration, or any severable aspect of this Trust; and 11.2.2 the courts of any Qualifying Jurisdiction have exclusive jurisdiction in any proceedings involving rights or obligations under this Trust. (i) Employees and former employees of any company within the Group. (ii) The wives, husbands, civil partners, widows, widowers, surviving civil partners and children and step-children (being, in the case of children or step-children, under the age of eighteen) of such employees and former employees described in paragraph (i) above. (where “employees” has the same meaning as used in section 1166 of the Companies Act).
CHANGE OF PROPER LAW. The Trustees, with the consent of the Company, may, by instrument, declare that the proper law of the Scheme shall be the law of some other place in any part of the world under which the terms of the Scheme shall be capable of taking effect and such law shall thereupon become the proper law of the Scheme, but subject to the power conferred by this clause and until any further declaration be made under such power, provided always that so often as any such declaration shall be made, the Trustees shall be at liberty to make such consequential alterations or additions in or to the trusts, powers and provisions of the Scheme as the Trustees may consider necessary or desirable to ensure that the trusts, powers and provisions of the Scheme shall, mutatis mutandis, be as valid and effective as they are under the law of Jersey.
