Common use of Change of Regasification Plant Clause in Contracts

Change of Regasification Plant. The Carrier may occasionally, because of operational causes and previous document justification, with minimum prior written notification as specified in the Technical System Management Regulations, proceed to offload LNG vessels at an alternate regasification plant. In the submitted notification the Carrier will specify the anticipated length of time it will utilize the alternate plant. In this case the Carrier will assume, with previous document justification by the Contractor, the possible variation of costs that the change may imply for the Contractor, including costs derived from the possible non-compliance of its purchase commitments. In this case, the LNG will be considered offloaded as per all Contractual stipulations at the Regasification Plant initially Contracted. The Carrier will make every effort to minimally alter the tanker’s logistics operations. Likewise, the Contractor may occasionally, because of operational causes and with previous document justification, ask the Carrier to offload the LNG tankers at another regasification plant of which the Carrier is the owner, and different from that specified in the Contract. The Carrier will in no way be obligated to authorise this request, but it commits to make every effort to address it as far as its capacity and its facilities will permit. If the request is granted, the Contractor will have to assume, provided that the Carrier submitted prior document justification, the possible cost increase, or will compensate the possible decrease in income that the change may imply for the Carrier. The aforementioned will not apply when the regasification plant substitution occurs as a result of an order given by the Technical Manager of the Gas System because of gas system operations.
