Changes in Capital Adequacy. If any Lender or Issuing Lender determines that any Change in Law after the date of this Agreement affecting such Lender or Issuing Lender or any Lending Installation of such Lender or Issuing Lender or such Lender’s or Issuing Lender’s holding company, if any, regarding capital or liquidity requirements has or would have the effect of reducing the rate of return on such Lender’s or Issuing Lender’s capital or on the capital of such Lender’s or Issuing Lender’s holding company, if any, as a consequence of this Agreement, the Commitments of such Lender or the Loans made by, or participations in Letters of Credit held by, such Lender, or the Letters of Credit issued by such Issuing Lender to a level below that which such Lender or Issuing Lender or such Lender’s or Issuing Lender’s holding company could have achieved but for such Change in Law (taking into consideration such Lender’s or Issuing Lender’s policies and the policies of such Lxxxxx’s or Issuing Lender’s holding company with respect to capital adequacy), then from time to time the Borrower will pay to such Lender or Issuing Lender, as the case may be, such additional amount or amounts as will compensate such Lender or Issuing Lender such Lender’s or Issuing Lender’s holding company for any such reduction suffered. Notwithstanding the foregoing, no Lender or Issuing Lender shall be entitled to seek compensation under this ‎Section 3.02 unless such Lender or Issuing Lender is generally seeking compensation from other borrowers that are similarly situated to and of similar creditworthiness with respect to its similarly affected commitments, loans and/or participations under agreements with such borrowers having provisions similar to this ‎Section 3.02.

Changes in Capital Adequacy. Regulations. If any Lender or Issuing a Lender determines that any Change in Law after the date amount of this Agreement affecting capital or liquidity required or expected to be maintained by such Lender or Issuing Lender or Lender, any Lending Installation Office of such Lender or Issuing any corporate entity controlling such Lender is increased as a result of a Change in Law (which determination shall be made in good faith (and not on an arbitrary or capricious basis) and consistent with similarly situated customers of the applicable Lender after consideration of such factors as such Lender then reasonably determines to be relevant), then, within fifteen (15) days of demand by such Lender’s or Issuing Lender’s holding company, if any, regarding capital or liquidity requirements has or would have the effect of reducing Borrower shall pay such Lender the amount necessary to compensate for any shortfall in the rate of return on the portion of such increased capital which is attributable to this Agreement, its Borrowings or its obligation to make Borrowings hereunder (after taking into account such Lender’s or Issuing Lenderpolicies as to capital adequacy). Without in any way affecting the Borrower’s capital or on obligation to pay compensation actually claimed by a Lender under this Section 4.2, the capital Borrower shall have the right to replace any Lender which has demanded such compensation provided that the Borrower notifies such Lender that it has elected to replace such Lender and notifies such Lender and the Administrative Agent of the identity of the proposed replacement Lender not more than six (6) months after the date of such Lender’s or Issuing Lender’s holding companymost recent demand for compensation under this Section 4.2, if any, as a consequence and further provided that such replacement is otherwise in accordance with Section 4.7. The Lender being replaced shall assign its Term Loan Exposure and its rights and obligations under this Facility to the replacement Lender in accordance with the requirements of this Agreement, the Commitments of such Lender or the Loans made by, or participations in Letters of Credit held by, such Lender, or the Letters of Credit issued by such Issuing Lender to a level below that which such Lender or Issuing Lender or such Lender’s or Issuing Lender’s holding company could have achieved but for such Change in Law (taking into consideration such Lender’s or Issuing Lender’s policies Section 13.3 hereof and the policies replacement Lender shall assume such Term Loan Exposure, all pursuant to an assignment agreement substantially in the form of such Lxxxxx’s or Issuing Lender’s holding company with respect to capital adequacy), then from time to time Exhibit I hereto. The purchase by the Borrower will pay replacement Lender shall be at par (plus all accrued and unpaid interest and any other sums owed to such Lender or Issuing Lender, as being replaced hereunder) which shall be paid to the case may be, such additional amount or amounts as will compensate such Lender or Issuing being replaced upon the execution and delivery of the assignment. The Lender such Lender’s or Issuing Lender’s holding company for any such reduction suffered. Notwithstanding the foregoing, no Lender or Issuing Lender being replaced shall continue to be entitled to seek compensation under this ‎Section 3.02 unless such Lender or Issuing Lender is generally seeking compensation from other borrowers that are similarly situated the benefits of Sections 4.1, 4.2, 4.4, 4.5 and 14.6 for events recurring prior to and of similar creditworthiness with respect assignment to its similarly affected commitments, loans and/or participations under agreements with such borrowers having provisions similar to this ‎Section 3.02the replacement Lender.
