Common use of Changes in Capital of Parent and ExchangeCo Clause in Contracts

Changes in Capital of Parent and ExchangeCo. At all times after the occurrence of any event contemplated pursuant to Sections 2.7 and 2.8 hereof or otherwise, as a result of which either Parent Common Stock or the Exchangeable Shares or both are in any way changed, this Agreement shall forthwith be amended and modified as necessary in order that it shall apply with full force and effect, mutatis mutandis, to all new securities into which Parent Common Stock or the Exchangeable Shares or both are so changed and the parties hereto shall execute and deliver an agreement in writing giving effect to and evidencing such necessary amendments and modifications.

At all times after the occurrence of any event contemplated pursuant to Sections section 2.7 and or 2.8 hereof of the Support Agreement or otherwise, as a result of which either Parent Common Stock Shares or the Exchangeable Shares or both are in any way changed, this Agreement shall forthwith be amended and modified as necessary in order that it shall apply with full force and effect, mutatis mutandis, with appropriate changes to all new securities into which Parent Common Stock Shares or the Exchangeable Shares or both are so changed and the parties hereto shall execute and deliver an agreement in writing a supplemental Agreement giving effect to and evidencing such necessary amendments and modifications.

At all times after the occurrence of any event contemplated pursuant to Sections 2.7 and 2.8 Section 4.6 or 4.7 hereof or otherwise, as a result of which either Parent Common Stock Shares or the Exchangeable Shares or both are in any way changed, this Agreement shall will forthwith be amended and modified as necessary in order that it shall will apply with full force and effect, mutatis mutandis, to all new securities into which Parent Common Stock Shares or the Exchangeable Shares or both are so changed and the parties hereto shall will execute and deliver an a supplemental agreement in writing giving effect to and evidencing such necessary amendments and modifications.

At all times after the occurrence of any event contemplated pursuant to Sections section 2.7 and or 2.8 hereof of the Support Agreement or otherwise, as a result of which either Parent WACI Common Stock Shares or the Exchangeable Shares or both are in any way changed, this Agreement shall forthwith be amended and modified as necessary in order that it shall apply with full force and effect, mutatis mutandis, with appropriate changes to all new securities into which Parent WACI Common Stock Shares or the Exchangeable Shares or both are so changed and the parties hereto shall execute and deliver an agreement in writing a supplemental Agreement giving effect to and evidencing such necessary amendments and modifications.
