Changes in Persons Acting as Key Personnel. A. Contractor agrees that each Key Personnel position is separate and distinct, that it must be filled by a separate individual who is committed to and responsible for the functions of that position, and that it shall not transfer or reassign an individual identified above as Key Personnel without notifying MVEMSA and meeting to discuss the impact. B. Prior to any replacement of Contractor’s Key Personnel with responsibility for this Agreement MVEMSA shall be entitled to review and approve the proposed replacement. Such approval shall not be unreasonably withheld. Such approval shall include verification of resume and a completed background check by Contractor to be shared with MVEMSA.
