Changes to Registration Statement, Etc. Notify the Selling Members whose Shares are being registered, at any time when a prospectus relating to the registration statement is required to be delivered under the Securities Act, as soon as reasonably practicable after such time as Energen discovers any facts or circumstances which cause the prospectus included in the registration statement to contain an untrue statement of a material fact or to omit to state any material fact required to be stated therein or necessary to make the statements therein not misleading in light of circumstances then existing; after the date of such notification to the Selling Members, Energen will use its reasonable best efforts (subject to the provisions of subsection (c)(iii) below) to, within five business days, make filings under the Exchange Act and, to the extent required, prepare and furnish to the Selling Members a supplement or amendment to such prospectus and to cause the prospectus and registration statement to be appropriately supplemented and amended so that such prospectus and registration statement will not contain an untrue statement of a material fact or omit to state any material fact required to be stated therein or necessary to make the statements therein not misleading in light of circumstances then existing;
