CHARACTERIZATION OF INDEMNITY PAYMENTS; TAX DISCLOSURE. Any payment made pursuant to Sections 12.1 and 12.3 shall be treated by the Parties as an adjustment to the Purchase Price unless otherwise required by applicable Law. Notwithstanding any provision of this Agreement, the other Acquisition Documents and the Confidentiality Agreement described in Section 13.1 below to the contrary, each Party (and each employee, representative, or other agent of the Parties) is hereby expressly authorized to disclose to any and all Persons, without limitation of any kind, the Tax treatment and Tax structure of the transactions contemplated by this Agreement, the other Acquisition Documents and the Confidentiality Agreement; provided that the confidentiality provisions of this Agreement, other Acquisition Documents and the Confidentiality Agreement shall continue to apply to the extent that any information (e.g., names of the Parties) is not necessary to understand the Tax treatment or Tax structure of the transactions contemplated hereby and thereby.
