Chargebacks and Related Matters. Supplier agrees and understands that responsibility for fraud, refunds, reversals, chargebacks, errors, and all other aspects of payments acceptance and related activities for which Supplier may be responsible is solely as between Supplier and Bank in accordance with the Merchant Processing Terms. Headset shall not, under any circumstances, be responsible for (i) the collection or processing of any payments from Retailers or otherwise on Supplier’s behalf; (ii) any errors, mistakes, transmission problems, or any other payments-related issues; or (iii) any nonpayment by Retailer of any amounts due and payable to Supplier, including without limitation as a result of failed or unauthorized payments, reversals, chargebacks or other disputes.
