CHARGORS’ REPRESENTATIONS. Each Chargor hereby represents and warrants to the Collateral Agent for the Collateral Agent and the Secured Parties: (a) it is the sole legal and beneficial owner of the Charged Property free from any Liens except for Permitted Liens and to the best of its knowledge and belief the security created under or pursuant to this Debenture is not liable to avoidance on liquidation or bankruptcy, composition or any other similar insolvency proceedings; (b) it has the necessary power to enable it to enter into and perform its obligations under this Debenture; (c) this Debenture constitutes its legal, valid and binding obligation and creates an effective fixed or floating charge, as applicable, over the Charged Property, subject to applicable bankruptcy, insolvency, reorganization, moratorium or other laws affecting creditors’ rights generally and subject to general principles of equity, regardless of whether considered in a proceeding in equity or at law; (d) The entry into and performance by it of, and the transactions contemplated by, this Debenture do not and will not conflict with: (i) any law or regulation or judicial or official order applicable to it; or (ii) its constitutional documents; or (iii) any material agreement or document which is binding upon it or any of its assets or result in the creation of (or a requirement for the creation of) any Security over any Charged Property; and (e) all necessary authorisations to enable it to enter into this Debenture have been obtained and are in full force and effect.
CHARGORS’ REPRESENTATIONS. The Chargor represents and warrants that, on the date of this Agreement, with reference to the facts and circumstances then existing, it is not registered as a non-Hong Kong company under Part XI of the Companies Ordinance (Cap. 32) of Hong Kong nor has it made any application to be so registered.
