Charter; Bylaws. On or prior to the Distribution Date, MSG and Cablevision shall have taken all necessary actions to provide for the adoption of the form of Certificate of Incorporation and Bylaws in substantially the form filed by MSG with the Commission as exhibits to the Registration Statement.
