Merger Sub has previously furnished to the Company a true and complete copy of the Organizational Documents of Merger Sub as amended to the date of this Joinder Agreement, and such Organizational Documents as so delivered are in full force and effect. Merger Sub is not in violation of any provision of its Organizational Documents.

Such Charter Documents as so delivered are in full force and effect. Merger Sub is not in material violation of any provision of the provisions of its Organizational Charter Documents.
