MSGI will not (a) change or amend its Certificate of Incorporation, Bylaws or organizational documents, (b) issue or sell, nor issue options, warrants to purchase or rights to subscribe to, or enter into any arrangement or contract with respect at and as of any time prior to the Effective Time, except as otherwise permitted by this Agreement.
