CHARTER DOCUMENTS AND CAPITAL CHANGES. Santa Lucia will not (a) change or amend its Certificate of Incorporation, Bylaws or organizational documents (b) issue or sell, nor issue options, warrants to purchase or rights to subscribe to, or enter into any arrangement or contract with respect to, any shares of its capital stock or any of its other securities or ownership interests or (c) make any other changes in its capital structure, except as otherwise permitted by this Agreement.
