Common use of Charter Documents; Legality Clause in Contracts

Charter Documents; Legality. The Company has heretofore made available to the Purchaser true and complete copies of the certificate of incorporation, articles of association, bylaws, operating agreements or other comparable organizational documents minute books and stock books, if applicable (the “Charter Documents”), as in effect or constituted on the date hereof. The execution, delivery, and performance by the Company and the Sellers of this Agreement and any Additional Agreement to which the Company or any other party hereto is to be a party has not violated and will not violate, and the consummation of the transactions contemplated hereby or thereby will not violate, any of the Charter Documents or any Law. The Company has not taken any action that is in violation of its Charter Documents.
