Common use of CHARTER PRICE AND PAYMENT Clause in Contracts

CHARTER PRICE AND PAYMENT. 4.1 Avione Jet offers a payment gateway for Aircraft Operators through its services at xxx.xxxxxxxxx.xxx. The Charterer shall pay Avione Jet the Charter Price at the time, in the amount, currency and to the address specified in accordance with the provisions set out therefore in a Charter Contract. 4.2 The Charter Price is based on aviation fuel costs calculated on the Booking Date. If, for any reason whatsoever there shall be any increase in the cost of aviation fuel between the Booking Date and the date of operation of any Flight, then the Charterer shall, if so required by the Carrier, pay Avione Jet on demand such amount as shall fully compensate the Carrier for such increase in costs. 4.3 The Charter Price is agreed in the currency shown on the Charter Contract. On request from the Charterer Avione Jet in its sole discretion may elect to accept settlement of the price in either in US Dollars, Euros or Turkish Liras. On request, a new invoice will be issued to the Charterer, converting the Charter Price using the Avione Jet Exchange Rate on the date of issue of the invoice. If immediate payment is not received then Avione Jet reserves the right to recalculate the conversion of the Charter Price into the Charterer’s requested currency at the date of payment, and issue a revised and/or further invoice for any additional amounts outstanding at the date of payment. All such invoices issued under an Agreement shall evidence the “Charter Price” of that Agreement and are subject to these Standard Charter Terms. 4.5 Payment of the Charter Price shall be made directly to the account specified by Avione Jet which is authorised to accept payment on behalf of the Carrier and received in cleared funds in such account. Full payment must be received on receipt of invoice to secure the aircraft (unless otherwise specified). At the request and cost of the Charterer, Avione Jet can arrange for prepaid sums to be placed on hold in an escrow account. Time shall be of the essence for payment of the Charter Price and any other sums under any Agreement. 4.6 No set-off or counterclaim (whether arising in respect of an Agreement or any other carriage) shall entitle the Charterer to withhold payment of any sums whatsoever payable under or by reason of an Agreement. 4.7 The Charterer shall be responsible for reimbursing the Carrier on demand in respect of any de-icing costs incurred in connection with the performance of an Agreement. Avione Jet shall implement a credit card hold of the approximate cost of the de-icing. The customer will be informed before the flight of the credit card hold amount. This credit card hold shall be released on full settlement of the related outstanding invoice in respect of an Agreement by Charterer in accordance with these Standard Charter Terms. If the Charterer fails to make such settlement, the Charterer agrees that Avione Jet shall be entitled to request payment of the sum on hold from the Charterer's credit card. 4.8 In the event that the Charterer requests a change in routing or any other significant change (for example flight time change, passenger manifest change, change of airport or additional flight requirements) in respect of one or more Flights being undertaken by the Carrier under an Agreement and such requests are accommodated by the Carrier (which shall be at the Carrier's sole discretion), Avione Jet will issue an amended or replacement Flight Confirmation and the Charterer will pay on demand any additional costs set out therein.

Any payment made by the Charterer must be received by the Carrier in accordance with cleared funds no later than the provisions set out therefore Payment Due Date. In the event that the Carrier requires the Charterer to pay an initial deposit prior to the payment of the Charter Price then it shall notify the Charterer of the amount and payment deadline in a Charter Contractrespect of such initial deposit. 4.2 2.2 The Charter Price is based on aviation fuel costs calculated on the Booking Base Date. If, If for any reason whatsoever there shall be any increase in the cost of aviation fuel between the Booking Base Date and the date of operation of any Flight, then the Charterer shall, if so required by shall pay to the Carrier, pay Avione Jet Carrier on demand such amount as and shall fully compensate the Carrier for such increase. In the event there is an increase after the date of the Agreement in security costs, insurance premiums, airport charges, air navigation fees, air passenger duty or other similar costs associated with the operation of the aircraft or charter the Charter Price may be increased to take account of such additional costs. 4.3 The Charter Price is agreed in the currency shown on the Charter Contract. On request from the Charterer Avione Jet in its sole discretion may elect to accept settlement of the price in either in US Dollars, Euros or Turkish Liras. An additional fee (to be agreed in advance) will be payable by the Charterer to the Carrier at such time as specified by the Carrier. 2.6 If the Charterer wishes to cancel the entire booking of Flights described in the Schedule (or the Flight if only one Flight has been booked by the Charterer), the following amounts shall be responsible for reimbursing retained from the Charter Price by the Carrier on demand in respect as agreed compensation: (a) any costs which have been incurred by the Carrier if cancelled more than 48 hours prior to the scheduled departure time of any de-icing Flight (as applicable). The Carrier will provide evidence of such costs to the Charterer which shall include but not be limited to airport slots, cancellation fees, overflight and landing permission costs and hotel cancellation fees; (b) 25% of the Charter Price if cancelled within 48 hours prior to the scheduled departure time of any Flight (as applicable); (c) 50% of the Charter Price if cancelled within 24 hours prior to the scheduled departure time of any Flight (as applicable); or (d) the greater of 75% of the Charter Price or costs incurred by the Carrier if cancelled after the scheduled departure time of any Flight (as applicable). 2.7 Subject to the compensation provisions set out in connection with clause 2.6, in the performance event that the Charterer cancels the entire booking of an Agreement. Avione Jet shall implement a credit card hold of Flights described in the approximate cost of the de-icing. The customer will be informed before the flight of the credit card hold amount. This credit card hold shall be released on full settlement of the related outstanding invoice in respect of an Agreement by Charterer Schedule in accordance with these Standard Charter Terms. If the Charterer fails to make such settlementclause 2.6, the Charterer agrees that Avione Jet Carrier shall be entitled to request payment refund the entire Charter Price or the remainder of the sum on hold from Charter Price (as applicable) to the Charterer's credit cardCarrier within 7 days of the date of such cancellation. 4.8 2.8 In the event that the Charterer requests wishes to amend any Flight detailed in the Schedule (without cancelling the entire booking of Flights set out in the Schedule) then the Carrier shall recalculate the Charter Price and amend the Schedule accordingly. In the event that the recalculated Charter Price exceeds the original Charter Price then the Charterer agrees to pay any shortfall on demand by the Carrier. For the avoidance of doubt, if the recalculated Charter Price is less than the original Charter Price then the Carrier will repay the difference to the Charterer within 7 days. 2.9 In the event that the Charterer has booked a change in routing or any other significant change (for example flight time change, passenger manifest change, change series of airport or additional flight requirements) in respect of Flights and cancels one or more of such Flights being undertaken (without cancelling the entire booking of Flights set out in the Schedule) then the Charterer agrees to pay any costs which have been incurred by the Carrier under an Agreement and such requests are accommodated by the Carrier (which shall be in relation to those cancelled Flights at the Carrier's sole discretion)time of such cancellation as agreed compensation. For the avoidance of doubt, Avione Jet will issue an amended or replacement Flight Confirmation and the Charterer will pay on demand any additional costs compensation provisions set out thereinin clause 2.6 will not apply in such circumstances.

If, If for any reason whatsoever there shall be any increase in the cost of aviation fuel between the Booking Date date of the Charter Confirmation and the date of operation of any Flight, then the Charterer shall, if so required by the Carrier, pay Avione Jet to the Carrier on demand such amount amounts as shall fully compensate the Carrier for such increase in costsincrease. On request, a new invoice will be issued cleared funds not less than 48 hours prior to the Chartererdate on which the first Flight specified in the Schedule is to occur. If the booking is taken less than 48 hours prior to the first Flight specified in Schedule, converting cleared funds amounting to the remaining balance, must be received 6 hours prior to ETD.The Charter Price using and all other charges payable pursuant to this Agreement are exclusive of value added tax or sales taxes and air passenger duties, which shall, where applicable, be added to and paid in addition by the Avione Jet Exchange Rate on Charterer at the date of issue of rate in force at the invoicetax point. If immediate payment is not received then Avione Jet reserves the right to recalculate the conversion any payment, whether of the Charter Price into or otherwise, is not received in full by FlairJet on or before the due date for payment, then FlairJet may, without prejudice to any other rights or remedies available to it including, without limitation, as provided in clause 6 below, cancel or suspend any Flight(s) without any liability and shall be entitled to receive from the Charterer cancellation charges in accordance with the provisions of clause 7 below. If the Charterer does not make payment within the relevant periods specified on the Invoice, FlairJet may apply interest on such outstanding sums at the rate of 4% per annum above the base lending rate of Barclays Bank plc from the date that payment should have been made until the date that payment in full has been received by FlairJet, such interest being calculated on a daily basis. In addition the Charterer will reimburse all costs and expenses (including legal costs) incurred by FlairJet in the collection of any overdue amount. Payment can be made by 1) Bank transfer (bank details will be forwarded on request); 2) Debit card. Payments by debit card do not attract an administration fee; 3) Credit card. If the Charterer pays by credit card then in addition to the charter price an administrative fee of 0.3% is applicable. The charterer shall complete and return a credit/debit card payment form, which will be delivered on confirmation of Charter Agreement, including a copy of both sides of the credit/debit card. If for any reason the credit/debit card company does not make payment on FlairJet’s account, the customer whose signature appears on the form shall be responsible for the payment of all the charter charges. The Charterer agrees that any unforeseen additional charges that have been incurred over and above the original quote, including but not limited to, ground transportation, additional catering, itinerary changes, airport out of hours charges, additional overnights, de-icing and hangarage will be listed on the invoice provided upon completion of the trip and charged on the Charterer’s requested currency at card. If the date Charterer has made payment via bank transfer, these charges are to be paid within 14 days of payment, and issue a revised and/or further invoice for any additional amounts outstanding at the date of payment. All such invoices issued under an Agreement shall evidence the “Charter Price” of that Agreement and are subject to these Standard Charter Terms. 4.5 Payment of the Charter Price shall be made directly to the account specified by Avione Jet which is authorised to accept payment on behalf of the Carrier and received in cleared funds in such account. Full payment must be received on receipt of invoice to secure FlairJet invoice. Where a person, firm or company enters into the aircraft (unless otherwise specified). At the request and cost Agreement as an agent of the Charterer, Avione Jet can arrange for prepaid sums to be placed on hold in an escrow account. Time such entity shall be of jointly and severally liable, subject to the essence indemnities provided by the Charterer, with the Charterer for the payment of the Charter Price and any other sums under any Agreementcharter price upon demand by FlairJet. 4.6 No set-off or counterclaim (whether arising in respect of an Agreement or any other carriage) shall entitle the Charterer to withhold payment of any sums whatsoever payable under or by reason of an Agreement. 4.7 The Charterer shall be responsible for reimbursing the Carrier on demand in respect of any de-icing costs incurred in connection with the performance of an Agreement. Avione Jet shall implement a credit card hold of the approximate cost of the de-icing. The customer will be informed before the flight of the credit card hold amount. This credit card hold shall be released on full settlement of the related outstanding invoice in respect of an Agreement by Charterer in accordance with these Standard Charter Terms. If the Charterer fails to make such settlement, the Charterer agrees that Avione Jet shall be entitled to request payment of the sum on hold from the Charterer's credit card. 4.8 In the event that the Charterer requests a change in routing or any other significant change (for example flight time change, passenger manifest change, change of airport or additional flight requirements) in respect of one or more Flights being undertaken by the Carrier under an Agreement and such requests are accommodated by the Carrier (which shall be at the Carrier's sole discretion), Avione Jet will issue an amended or replacement Flight Confirmation and the Charterer will pay on demand any additional costs set out therein.
